Process of M&A
1 Consultaion ※Free
M&A advisor consults the client and consider and advise on solutions from various aspects. We will not force you to sell your company if it is difficult to sell it through M&A solution. We place emphasis on providing optimal solutions, and provide information and proposals, including introductions to various affiliated experts.
2 Company Valutaion ※Free
We will execute a NDA and conduct a company evaluation. We only use past M&A cases and evaluation methods considered by the Buyer’s logic. Although the assessed valuation will not necessarily be the amount that will result in a contract, we will give you advice on how to improve your company’s valuation.
3 Advisory Contract ※Free
If you choose us as your advisor, we will conclude an advisory agreement with you. Any fees will also be determined at this time. This is the final contract with us.
4 Approaching
We will use our worldwide network to find the right partner for you. Depending on the certainty of consideration of the potential buyer, we will invite the decision-maker to Thailand for a direct top-level meeting with you.
5 Memorandum of Understanding / Letter of Intent ※Interim Fee
If the Top meeting goes well, we will begin negotiating a basic agreement. We will adjust each condition and schedule, and conclude a basic agreement contract whichi is MoU or LoI.
6 Due Diligence / Share Purchase Agreement
Business, legal, accounting and tax aspects are investigated from the buyer company in preparation for the conclusion of the final agreement. We support for sellside owner due to requiring to submit a large amount of documents. The due diligence results of the audit are then used to negotiate a final contract.
If both parties agree on the terms and conditions, a final contract which is Share Purchase Agreement is concluded.
7 Closing ※Contingent Fee
The M&A is completed after completing the share transfer procedures and the transfer payment procedure.
